(3)経緯（whereas clauses) RECITALS WHEREAS,Buyer desire to purchase automotive products from Seller from time to time based on Individual Contracts (as defined below ),and Seller desires to sell such products to Buyer in such manner;NOW THEREFORE the Parties mutually agree to enter into this Agreement in accordance with the terms and conditions stated herein. 和訳　経緯 買主は、売主から自動車部品をその都度、個別契約（以下に定義）にもとづいて買うことを希望し、売主は買主に対してその製品をこの方法によって販売することを希望しており、そこで、両当事者は、ここに定められた条項と条件により本契約を締結することを合意する。 解説　経緯は契約の動機、背景などが記述されますが、法的には意味がないようですが、のちのち問題が生じたときに参考とされる場合があるので、注意が必要です。

(4)本文（一般条項） Article 解説　一般条項には通知、変更、権利放棄、不可抗力、準拠法、などが記載されます。
